These Terms of Service (the “Terms”) govern your access to and use of kailabs.cc (the “Site”) and the KAI Terminal application (the “Service”). KAI Labs (“we”, “us”) operates both the Site and the Service. §1 describes how you accept these Terms. If you do not agree to these Terms, do not use the Service.
These Terms become binding on you when you accept them through one of the following steps:
When you accept, we record the version of these Terms and of the Privacy Policy that you accepted, the time, your IP address and your browser user agent. The Privacy Policy explains how we handle this record. When we publish a new version of these Terms, the Service asks account holders to accept it again (§17).
If you use the Site without taking any of these steps, these Terms apply to that use to the extent permitted by law. If you accept on behalf of an entity, you represent that you have authority to bind that entity.
You may only use the Service if:
We may verify eligibility at any time and suspend or terminate access where we have reasonable grounds to believe these conditions are not met.
Cryptocurrency products, and leveraged cryptocurrency derivatives in particular, are restricted or prohibited in some places. The Service — and above all live trading (§5) — is available to you only where using it is lawful for you. You are solely responsible for confirming that it is, before you use the Service and before you connect an exchange account.
We may restrict or block access to the Service or to live trading on the basis of location, and we may refuse to connect an exchange account, or to open a new position, for that reason. We determine location from the country that our network provider derives from your IP address. If a location check lets you through, that is not a statement by us that your use is lawful where you are.
KAI Terminal is a software tool. You choose an AI model, you write your own trading strategy as a prompt, and the Service runs it: the Service sends market data and your prompt to the model, turns the model’s reply into a trading signal, and executes that signal once you approve it or, if you turned automatic execution on, automatically (§11). Execution happens in one of two modes.
Paper. Every new strategy starts in paper mode. Paper trades are simulated against a synthetic balance with a simulated fee. No real funds are involved and no order is sent to an exchange. Paper results are simulated and do not show what the same strategy would do with real orders.
Live. A strategy can instead trade on your own exchange account, through a trading credential that you provide (§5). The Service supports five exchanges — Hyperliquid, Binance, Bybit, OKX and Bitget — and trades perpetual contracts only, not spot. Whether a strategy trades on a demo (test) account or on a real-money account depends on the account you connect. When you connect a demo account, a strategy that is in paper mode switches to it automatically; a real-money account is used only after you select it yourself.
Availability of live trading is limited. An exchange or a network can be used only when the Service shows it as available. An exchange or a network becomes available only after we have checked it; we do not promise that any exchange or network will become available. Availability is limited and may be restricted to demo accounts.
Your credential. To trade live you give the Service an API key and secret for your exchange account (on some exchanges also a passphrase) or, on Hyperliquid, an equivalent trading credential: a wallet address and the private key of an agent wallet.
When you connect. The Service tests the credential by reading the account balance; if that fails, nothing is stored. An account that reports hedge position mode is refused: switch it to one-way mode first. We may refuse a connection because of your location (§3). The Service asks you to confirm this statement: “I'm eligible to trade crypto derivatives in my jurisdiction and understand the leverage / liquidation risk.” This confirmation is part of these Terms. We record whether you gave it, which version of the statement you confirmed, and the country derived from your IP address at that moment. The Service may check the country recorded when you connected, and your confirmation, again before it opens a new position or places a limit order, and may refuse the order. This check does not prevent a position from being closed.
Orders and records. Every live order is executed by your exchange, under the exchange’s own rules, fees and limits. The exchange’s data about your balance and positions is the source of truth, and the Service builds your live portfolio from it. The Service records execution prices as the exchange reports them; if the exchange does not report the price of a close, the journal in the Service records a reference price that can differ from the real one. The Service closes a live position with a reduce-only market order.
If the exchange does not confirm the leverage requested for a new position, the Service does not send the order. If the Service cannot confirm whether an order to open a position or to add to a position was executed, the Service does not send that order again and, until this is resolved, sends no new order that opens or adds to a position for that strategy on that exchange account. The Service does not cancel limit orders that are already on the exchange, and such an order can still be filled. The order that could not be confirmed may have been executed on the exchange. The Service does not resolve such a case by itself. Check your exchange account and write to [email protected].
Protective exits. When a live position opens with a market order, the Service sends its stop-loss and its final take-profit to the exchange as reduce-only orders. Once the exchange has accepted these orders, they stay on the exchange if the Service is unavailable. After the Service adds to a position with a market order, the stop-loss and take-profit orders on the exchange may still cover only the size that the position had before the addition; check them on the exchange. The following protection is carried out by the Service itself. It does not work while the Service is unavailable, and, except for the first item, it does not work while the Service has no current price from the exchange:
Every change of a stop-loss or take-profit, including a trailing stop and a move to the entry price, replaces the orders on the exchange; during the replacement the position has no stop-loss or take-profit on the exchange for a short time. If a stop-loss or take-profit did not reach the exchange, the Service in most cases sends you a notification that the position is unprotected. It does not send one in every case — for example, when the exchange does not confirm that the previous orders were cancelled — and we do not promise that a notification reaches you.
Your exchange account. You are responsible for the credential, for its permissions and for the settings of your exchange account. Where the Service sets the margin mode, it sets isolated margin; on an exchange where it does not, your account’s own setting applies. Positions and orders on your exchange remain yours: they stay on the exchange if the Service is unavailable, if you stop using it, or if you delete your account (§16), until you close or cancel them on the exchange or the exchange closes them.
Derivatives risk. Perpetual contracts are leveraged derivatives. Leverage multiplies losses as well as gains. The exchange can liquidate a position, and you can lose all the margin in it. You pay or receive funding payments and you pay the exchange’s fees. An exchange can be unavailable, can delay or reject an order, and can change its rules. §11 and §15 also apply to live trading.
Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your personal or internal business use. All rights not expressly granted are reserved.
You are responsible for the security of your account credentials and for any activity that occurs under your account. Notify us immediately at [email protected] of any unauthorised access or suspected breach. We are not liable for losses arising from your failure to safeguard credentials.
You agree not to:
Credits and plans. Model calls are paid for with credits. The credit cost of a call is set by us and depends on the model and on the size of the request and the reply. The Service shows the relative cost of each model. A plan includes a grant of subscription credits for a period of 30 days; the Free plan also receives a grant of credits every 30 days. Top-up credits are bought separately, in packs. A model call uses subscription credits first and top-up credits after them.
Price. The price of a plan or of a credit pack is the price in US dollars that the Service shows you before you pay, including any promotional discount that applies to you. The Service sets the final amount when it creates the invoice. The current prices and rates are shown in the Service. We may change the prices of plans and of credit packs, and the credits included in a plan, for future purchases; a purchase that you have already paid for is not re-priced. We may update the credit rates of model calls with reasonable advance notice (typically at least 30 days for increases of the credit rates).
What a plan purchase does.
End of a period. At the end of each period, unused subscription credits expire. They are not carried into the next period, including when a plan that you bought in advance starts. Top-up credits do not expire.
No automatic charges. We do not charge you automatically. A plan continues into another period only if you have already paid for that period or if we have renewed it at no charge. Otherwise the account returns to the Free plan at the end of the period. We may renew a plan at no charge at our discretion; such a renewal ends when you pay for a plan or cancel renewal.
Cancelling renewal. Choosing the Free plan does not end a paid plan at once: the plan runs until the end of the period. Choosing the Free plan stops a no-charge renewal that we granted. Choosing the Free plan does not cancel a next period that you have already paid for; that period still starts.
Payment. Payment is in cryptocurrency only, through a third-party payment processor (currently CryptAPI). The coins and networks that you can pay with are shown at checkout. Credits and plans that you buy are granted only after the processor confirms your payment.
If a payment of yours has not been credited, write to [email protected] with the transaction ID.
Subscription fees are non-refundable except where required by applicable law. We may, at our sole discretion, issue refunds or credit grants for material Service failures. Top-up credits are non-refundable once credited to your account. Cryptocurrency refunds, where issued, are returned to a wallet address that you confirm to us, less network fees; we do not guarantee parity in fiat terms due to crypto market volatility between payment and refund.
Refunds are not automated. The Service has no refund function: we review each case and send each refund manually. To ask for a refund, write to [email protected].
The Service is not financial, investment, legal, or tax advice. KAI Terminal is a software tool that produces trading signals from your strategy and executes orders against parameters you configure. A signal shown in the Service is the output of your strategy and your prompt. It does not constitute a recommendation to buy, sell, or hold any asset, and we are not registered as an investment adviser, broker-dealer, or financial professional in any jurisdiction.
You are the author. You write the strategy and you choose the model. The default entry prompt is a template with blanks, not a strategy, and the Service does not let you switch entries on until you have written your own entry criteria. At your request, the chart assistant in the Service can draft an entry prompt or a management prompt from your conversation with it. A draft changes nothing until you review and save it. Once you save a draft, it is your prompt, and the Service treats it as your own criteria.
Approval and automatic execution. By default every signal waits for your approval, and no position is opened until you approve it. You can turn on automatic execution; this requires a paid plan and your acknowledgement of a risk notice. Automatic execution then opens positions without asking you, for signals in which the model states a confidence at or above the threshold in your settings. Automatic execution lasts 30 days from the moment you turn it on. After that period ends, signals wait for your manual approval again until you turn automatic execution on again; you are notified when the first such signal arrives.
Automatic position management. Position management by the model is off by default. If you turn it on, the model can, without asking you, keep a position, change its stop-loss or take-profit, close part of it, or close it completely. It can add to a position without asking you when the Service’s checks allow it. If it decides to reverse a position, the position is closed at once, and the opposite position is treated as a new signal that waits for your approval unless automatic execution is on. If you turn management on without writing your own management prompt, the Service uses a default management prompt written by us. To use your own rules, write your own management prompt.
Pausing or stopping a strategy stops it from looking for new entries. Pausing or stopping a strategy does not close its open positions and does not stop automatic position management if you turned it on: management continues to act on the open positions and continues to use credits. While a strategy is paused, management can still add to a position, and the opposite position after a reversal can open automatically if automatic execution is on. While a strategy is stopped by your kill switch or by its total loss limit, management does not add to a position and does not open the opposite position after a reversal. To stop management, turn automatic position management off.
Models. Trading decisions are generated by AI models of third-party providers. A model can be wrong, can misread data, and can give different answers to the same input. We do not control how the models work, and we do not verify that their decisions are correct. The Service calls the providers with our own provider accounts; your credits pay for these calls (§9). The Privacy Policy describes what is sent to the providers.
Risk limits. The Service offers limits that you configure, such as a daily loss limit, a limit on the number of open positions and a total loss limit that stops the strategy. These limits reject new entries or stop the strategy. They do not protect an open position from loss, and a stop-loss does not fix the price at which a position is closed.
Cryptocurrency trading carries substantial risk, including the risk of total loss of capital. Past or simulated performance does not guarantee future results. Leverage amplifies both gains and losses. Markets can be volatile, illiquid, and subject to manipulation, operational failures, exchange outages, and regulatory action. By using the Service, you acknowledge these risks and accept full responsibility for the outcomes of any trading decision — simulated or live — carried out via the Service.
The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express, implied, or statutory, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, uptime, error-free operation, or any warranty arising from course of dealing or usage of trade. We do not warrant that signals your strategy produces through the Service are accurate, profitable, or suitable for any purpose. Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions, the foregoing exclusions apply to the maximum extent permitted by law.
To the maximum extent permitted by applicable law:
The limitations in this Section apply regardless of whether the damages arise from breach of contract, breach of warranty, negligence, strict liability, or any other legal theory. They are a fundamental basis of the bargain between you and us.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for intent, for gross negligence, and for death or personal injury. If you are a consumer, the mandatory consumer rights of the country where you live are not affected.
You agree to defend, indemnify, and hold harmless KAI Labs, its affiliates, officers, employees, agents, and licensors from and against any claim, demand, suit, proceeding, loss, liability, cost, or expense (including reasonable attorneys’ fees) arising out of or related to: (a) your trading decisions or the use to which you put the signals your strategy produces or the orders the Service executes on your instructions; (b) your violation of these Terms; (c) your violation of any law or third-party right; or (d) your access credentials being misused due to your failure to safeguard them.
This Section does not apply to you as a consumer to the extent that the law of the country where you live prohibits it.
The Service is offered without any uptime, latency, or availability commitment. We may modify, suspend, or discontinue any feature or the entire Service, with or without notice. We may impose usage caps, throttle requests, or pause operations for maintenance or to preserve operational integrity. Features may behave unpredictably and produce incorrect results.
Without a current price for a market (from the connected exchange for live trading, from public market data for paper trading), the Service does not open or add to a position, does not place or change a limit order, does not accept a change to a stop-loss or take-profit, and the protective exits in §5 that need a current price do not run. You can still close a live position.
We can also take the following actions:
We do not guarantee the price at which any order, close or protective action is executed. A market order is filled at the price available on the exchange at that moment, which can be much worse than the last price you saw.
You may stop using the Service at any time. We may suspend or terminate your access immediately, with or without notice, if (a) you breach these Terms, (b) we are required to do so by law, court order, or supervisory authority, (c) we have reasonable grounds to suspect fraud, sanctions evasion, or any other unlawful activity, or (d) we discontinue the Service. Upon termination, the license granted under §6 ends, and unused subscription credits are forfeited; top-up credits paid in cryptocurrency may be returned net of network fees at our discretion. Sections that by their nature should survive termination (including §§12–14, 18–20) survive.
If you delete your account, your strategies, exchange credentials, plan and remaining credits are deleted with it, and no credits or payments are returned automatically. If a payment of yours has not been credited, resolve it with us before you delete your account: deletion also removes the records of payments that are held for manual handling. Deleting your account does not close positions or cancel orders on your exchange: close or cancel them on the exchange yourself, before or after you delete the account. The Privacy Policy describes which records remain after deletion.
We may update these Terms from time to time. The current version is published on this page with its “Last updated” date and its version number. If you have an account, the next time you open the Service it shows you a screen with a link to the new Terms and asks you to accept them. We may also notify you by email.
Until you accept, the Service shows only the acceptance screen, and you cannot create a payment invoice or connect an exchange account. Your strategies keep running in the meantime, including automatic execution and automatic position management, and open positions stay open. The version of the Terms that you last accepted continues to apply to you until you accept the new one.
If you do not agree to a change, do not accept it. On the acceptance screen you can stop all your strategies and delete your account without accepting the new Terms. Stopping a strategy does not close its open positions (see § 11), and deleting your account does not close positions or cancel orders on your exchange account. For anything else, write to [email protected]. You can always act directly on your exchange account.
You and we agree to attempt to resolve any dispute informally first. Send an email to [email protected] with the subject “Dispute Notice” and a description of the dispute. We will respond within thirty (30) days. If the dispute cannot be resolved informally within sixty (60) days after the Dispute Notice was sent, either party may pursue the matter in any court of competent jurisdiction.
These Terms do not choose a governing law or an exclusive forum. If you are a consumer, nothing in these Terms takes away the protection of the mandatory laws of the country where you live, or your right to bring a claim before the courts of that country.
If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect. These Terms, together with our Privacy Policy and any in-product notices we publish, constitute the entire agreement between you and us regarding the Service and supersede any prior or contemporaneous agreements on the same subject matter. Our failure to enforce a provision is not a waiver of that provision.
